Wachovia (WB) Buys A.G. Edwards (AGE)

Wachovia Corp. (NYSE:WB - News) on Thursday said it will buy A.G. Edwards Inc. (NYSE:AGE - News) for $6.8 billion in cash and stock, creating the second-largest U.S. retail brokerage.
The combined brokerage, to be known as Wachovia Securities, would have 14,784 brokers, propelling it past Citigroup Inc. (NYSE:C - News) and ranking just behind Merrill Lynch & Co. (NYSE:MER - News). Its $1.15 trillion of client assets would trail only Merrill and Citigroup. Wachovia Securities expects to command a 14 percent market share, operate 3,350 offices and employ 31,000 people. The terms value A.G. Edwards at $89.50 per share, a 16 percent premium over the stock's closing price on Wednesday and about 21.5 times expected 2007 earnings. Through Wednesday, A.G. Edwards shares had already risen 22 percent this year. Shareholders would receive 0.9844 of a Wachovia share and $35.80 in cash for each of their shares. The purchase "allows us to leverage our investment banking, underwriting and origination capability," Wachovia Chief Executive Ken Thompson said on a conference call. "We will get more mandates on the investment banking side simply because of the greatly expanded retail distribution we will have. (This) will also allow us to sell considerably more bank products."
He added, "This is an endgame for us. We've got everything we need right now to grow this business organically."
In morning trading, A.G. Edwards shares rose $10.62, or 13.8 percent, to $87.77. Wachovia fell 31 cents to $54.24.

Jim Cramer's Mad Money Lightning Round May 30th

Bullish Calls:
Yamana Gold (NYSE: AUY): ' I am sticking by AUY as my play for when things go bad. That's what it is. It's basically a first aid kit you've got to take with you everywhere you go.'Total System Services (NYSE: TSS): 'You are in great shape. TSS, I believe, will not be independent a year from now ... I like TSS as a takeover. And, on earnings, it should go to $40 alone.'Celgene (NasdaqGS: CELG): 'The stock's had a nice pullback, which means you should back up the truck. Every time we've had an 8% pullback in CELG, it has been miraculous to buy. I'm saying this time it will be no different.'Sappi Ltd. (NYSE: SPP): ' ... we've got a government that's of, by and for the corporation, trying to keep the ChiComms from flooding us with paper, so this South African company can make a lot of money, and it's working! You stay long SPP!'Volvo AB (Other OTC: VOLVF.PK): You're a genius! That is an unbelievable stock! ... It has a great industrial business. It has a great yield ... even right here at $21 bucks - I would back up the truck!'Freeport McMoran (NYSE: FCX): 'It's also got gold, and it's much more levered to China buying it. Those ChiComms eat copper for breakfast!'
Neutral calls:
ConAgra (NYSE: CAG): 'They have a raw cost problem. All of that stuff is being bid up by ethanol. And so I can't get behind that. CAG, just okay. Candidly, I recommended it right here, and I'm not backing away from it, but the raw costs are out of control.'
Bearish calls:
Electronic Arts (NasdaqGS: ERTS): 'You know what? I'm giving up on this one... I'm putting the 'don't buy' on it. That's a change in plans.'Finisar (NasdaqGS: FNSR): 'No. I liked FNSR ... Their time has passed. They didn't get the big orders.'Washington Group (NYSE: WNG): 'My friend... Bulls make money, bears make money... hogs get slaughtered! You must sell WNG right now!'Southern Copper (NYSE: PCU): 'I like PCU.... I think FCX is better.'Build-a-Bear (NYSE: BBW): ' if I go and recommend it on this show, that they will then have a shortfall, because they are wildly inconsistent. They are too dangerous for this guy ... If that stock were to go back to $25.00, I would pull the trigger.'

Jim Cramer's Mad Money Stock Recap May 30th

Matchmaker, Matchmaker! Yahoo (NasdaqGS: YHOO) and eBay (NasdaqGS: EBAY)
While Cramer does not suggest investing in either of these companies individually, he would buy Yahoo and eBay if they merged. They were both downgraded by Merrill Lynch, and with slowing growth, Cramer does not see much upside in the individual companies, but he doesn't think they will sink either. While both companies have been depending on buybacks to prop up their stocks, Cramer says eBay and YHOO sould grow together, since Yahoo has users and eBay has Skype and Paypal. A merger would create an "internet colossus" which would offer a credible challenge to Google.
Cleveland Cliffs (NYSE: CLF), CVRD (NYSE: RIO)
Takeover speculations are profitable for companies, even if the mergers don't happen, says Cramer, who discussed CLF, the largest iron ore pellet producer in North America. He thinks this stock will attract call options and experience a run-up on takeover rumors, and thinks a likely buyer may be RIO. Cramer predicts the company could be sold at $88 a share, which he says is a conservative estimate. Although the stock is up 10% from where he initially recommended it, Cramer says CLF has "tremendous upside."
CEO Interview: John McMahon: Genesis Lease (NYSE: GLS) with GOL (NYSE: GOL)
When Cramer asked why airlines would want to rent airplanes, John McMahon replied not all airlines can afford to purchase their own aircrafts. He commented on the new company's increasing client-base and is optimistic about future growth. Cramer commented that he would rather own GLS than any other airline except for GOL.

Stocks Fall on Chinese Market Drop

Wall Street retreated Wednesday as investors around the world reacted to a plunge in China's stock market, and awaited the release of minutes from the last Federal Reserve meeting.
The pullback in the U.S. wasn't seen as a surprise as stocks were perhaps overdue for a consolidation after a strong run since the second half of 2006. And the declines in Asian and European markets did not appear as dramatic as on Feb. 27, when investors around the world recoiled at a 9 percent slide in the Shanghai index.
The tumble in Chinese stocks rippled through the global markets. When Beijing tripled a tax on stock trading to cool the country's market boom, the main Shanghai Composite Index dropped 6.5 percent and the Shenzhen Composite Index for China's smaller second market slid 7.2 percent.
Investors also retrenched ahead of the Fed minutes, which Wall Street hopes will indicate that policy makers are leaning more toward a rate cut by the end of the year than a rate hike. The minutes will be released at 2 p.m. EDT.
In the first hour of trading, the Dow Jones industrial average fell 38.93, or 0.29 percent, to 13,482.41.
Broader stock indicators were also lower. The Standard & Poor's 500 index was down 4.06, or 0.27 percent, at 1,514.05, and the Nasdaq composite index dropped 12.30, or 0.48 percent, to 2,559.76.

Jim Cramer's Mad Money Stock Recap May 29th

Six Bulls: John Deere (NYSE: DE - News), Monsanto (NYSE: MON - News), Sociedad de Chemica (NYSE: SQM - News), Caterpillar Inc. (NYSE: CAT - News), Terex (NYSE: TEX - News), Manitowoc (NYSE: MTW - News), Foster Wheeler (NasdaqGS: FWLT - News), McDermott International (NYSE: MDR - News), Jacobs Engineering (NYSE: JEC - News), Boeing Co. (NYSE: BA - News), Halliburton (NYSE: HAL - News), Royal Dutch Shell (RDS-A), Exxon Mobil (NYSE: XOM - News), Freeport McMoran (NYSE: FCX - News), Lundin Mining (AMEX: LMC - News)
Cramer dedicated the program to discussing six bull markets and recommending stock picks for each sector.
Agriculture: Cramer commented on a "disturbing" editorial in the New York Times which called for an end to agricultural subsidies, but he is confident the policy will never be enacted. Cramer calls Deere "money in the bank" and notes that it sells at 16x earnings and has a 12% growth rate. While Monsanto, which trades at 35 x earings "will never be cheap," Cramer says its 24% growth rate is worth the price at $60, and he would buy it up to $70. The Chilean fertilizer company, SQM, is the world's largest supplier of lithium which goes into batteries and will be in shorter supply as "the greening movement reaches its nauseating zenith."
Machinery While he confesses amazement that CAT is stalled, Cramer says it is "preposterously cheap" trading at 13x earnings with 12% growth. He adds CAT has great international exposure, will benefit from the collapse of its Japanese competitors, and is a solid infrastructure play. While he also likes TEX and MTW, Cramer thinks CAT is still best-of-breed.
Infrastructure: Cramer calls this the "wildest" bull market which will benefit from oil prices and the need to create alernative power plants and petroleum infrastructure. Even though Foster Wheeler and McDermott International have had "tremendous runs" Cramer notes FWLT sells at just 17x next years earnings with 34% growth, and MDR has 14% growth and sells at 17x earnings. He adds these stocks do not get enough coverage on Wall Street, and would buy them. Cramer gives Jacob's Engineering and honorable mention, although is more expensive than the other two.
Aerospace:Boeing is up only 10% when the rest of the sector has risen 22%, and Cramer comments, "It's a laggard. It should be leading." Boeing sells at 20x earnings and has 18% growth. He thinks the company has a good future given the health of the sector, its international business, and some "amazingly-terrible problems at AirBus."
Oil and Gas: After a run for this sector, it was down on Tuesday; "People are just thinking it's over, because oil is down 2 bucks," said Cramer and he expressed confidence that the sector would bounce back. In spite of its "giant" buyback, "robust" outlook for oil and gas and its international exposure, Cramer notes HAL is down 12% from last year. Cramer likes Royal Dutch Shell with 10x earnings, 8% sales growth, and a yield at nearly 4%. While Exxon Mobil was down on Tuesday, it is still "a go-name for big institutions."
Minerals: Cramer says rumors of full copper inventories are "nonsense," because the Chinese need more copper. He likes copper play FCX and says its gold is a good hedge against inflation. He notes the company sells at only 9x earnings, but he predicts a 12x multiple. Cramer added the quarter was not good due to strikes and the cost of its Phelps Dodge deal, but predicts it will benefit from copper demand. He also likes Lundin which he thinks will go from $12 to $15 on the Tenke Mining deal in late June.
