Jim Cramer's Mad Money Stock Recap Feb. 12

Case for Trades: Marvell (NasdaqGS: MRVL)
Cramer discussed the outdated stigma that surrounds trading, and said that there is no reason to avoid trades now that taxes and commissions are the lowest he has seen them. "Buy and hold" doesn't cut it anymore, he commented, adding that his Mad Money picks are not meant to be held forever; investors "should try to buy as low as possible and sell high ... That doesn't make you a trader. It makes you an intelligent manager of your own money." In spite of an upgrade by Deutsche Bank and J.P Morgan, semiconductor stocks will not be strong until the middle of the year, and he expects MRVL to get hit harder than the rest. However, Cramer would buy the stock low because "Marvell is not a trade. It's not an investment. It's just a good idea." He would pick up the stock below $18 before it reports, but would do homework first.
Oil is Well: National Oilwell Varco (NYSE: NOV - News), Teneris (NYSE: TS - News), Hydril (NasdaqGS: HYDL)
Although The Street has abandoned oil, Cramer likes NOV, since it "is the biggest maker of oil rigs on earth," reported an amazing quarter and is cheap. He points out that just as Teneris has agreed to buy HYDL for $97 a share, another buyer could pick up NOV. Cramer would buy some before it gets a takeover bid.

Cramer says that he is recommending SHLD because it could be another Berkshire Hathaway, but said that he would get rid of the stock if he saw "deviation from... the Berkshire plan." Concerning Sprint, he says he would not recommend a stock when its fundamentals are deteriorating, and adds, "I keep waiting till the estimates get so low that they can't deteriorate further," and says that he would back up the truck when that happens. While the success of one game would not make such an impact on $15 billion company ERTS, it could affect$2 billion company THQ, and since the stock is expensive, Cramer would not buy it. Cramer says that "the worst is over" for DPZ, and would hold on to it, since it is a good chain. Finally, Cramer says Diageo is "terrific" and VG is "radically overpriced."

Biggest Gainers Monday

Adeza Biomedical Corp. (NasdaqGS:ADZA - News) agreed to be bought by Cytyc Corp. (NasdaqGS:CYTC - News) for $24 a share, or approximately $450 million, Cytyc will fund the purchase through existing cash, the cash on Adeza's balance sheet, and existing credit facilities. The deal, which is subject to customary closing conditions and regulatory approvals, is expected to be completed before the end of March. Cytyc said that, excluding one-time costs related to the acquisition, it expects the acquisition to be break-even to earnings in 2007 and at least accretive by 5 cents to 2008 earnings per share.
Adobe Systems (NasdaqGS:ADBE - News) was upgraded to buy from Oppenheimer & Co., which cited valuation.
Align Technology (NasdaqGM:ALGN - News) shares rose after Piper Jaffray upgraded the teeth misalignment treatment company to outperform from market perform, citing evidence of growing demand for its Invisalign product. Analyst Raj Denhoy also raised his stock price target to $21 from $15, his forecast for 2007 revenue from orthodontists to $85 million from $79 million. "Overall, orthodontists expect their use of Invisalign to increase by approximately 13.4% over the next 12 months; we had previously modeled just 10.6%," Denhoy said in a research note.
Apogee Enterprises (NasdaqGS:APOG - News) lifted its outlook for fiscal 2007, saying it now sees earnings of $1.04 to $1.10 a share. Its previous projection was for a profit of 98 cents to $1.04 a share for the year. The average estimate of analysts polled by Thomson Financial is for a profit of $1.01 a share in 2007. The Minneapolis-based glass products maker anticipates it will post revenue growth near the top of its prior range of 12% to 15%. For fiscal 2008, Apogee forecast earnings of $1.20 to $1.30 a share on revenue growth of 8% to 11%. Wall Street's current consensus estimate is for a profit of $1.19 a share in fiscal 2008.
Apple Inc. (NasdaqGS:AAPL - News) was upgraded to buy from hold at Citigroup, which cited several meaningful product catalysts and expectations of significant gross market upside due to declines in flash memory and DRAM (dynamic random access memory) pricing. Analyst Richard Gardner kept his 12-month price target at $105.
Asta Funding (NasdaqGS:ASFI - News) agreed to acquire a portfolio with a face value of $6.9 billion for a purchase price of $300 million. Asta said the portfolio is made up of primarily credit card accounts.
Brush Wellman (NYSE:BW - News) said its fourth-quarter earnings jumped to $30.3 million, or $1.48 a share, from $4.1 million, or 93 cents a share, a year earlier, boosted by a $21.3 million benefit related to the reversal of the company's deferred tax valuation allowance. The Cleveland supplier of metal products and engineered material systems said excluding the allowance, the company earned 44 cents a share. Revenue rose 48% to $207.8 million from $140.6 million a year ago. Analysts surveyed by Thomson Financial expected, on average, earnings of 41 cents a share on revenue of $189 million. Analyst earnings forecasts typically exclude unusual items. In addition, Brush Engineered said it expects 2007 sales to rise 25% to 30%to $950 million to $1 billion, with earnings of $3 to $3.75 a share, including a $1-per-share benefit from the sale of inventory.
Cell Therapeutics (NasdaqGM:CTIC - News) said it plans to form a new company, Aequus BioPharma, Inc., and spin it off. The company didn't provide details of whether the spin-off will be in the form of an initial public offering or a dividend to its shareholders.
Ciena Corp. (NasdaqGS:CIEN - News) was upgraded by Credit Suisse to outperform from neutral, citing the networking company's strong competitive position in the rebounding optical infrastructure market. Analyst Paul Silverstein also lifted his stock price target to $36 from $29.25, his 2007 earnings estimate to 93 cents a share from 91 cents and his 2007 revenue forecast to $715 million from $710 million. The stock was up 2.2% at $28.90 in pre-open trading. "We expect to see further sustained increase in demand due to increasing bandwidth consumption and the concomitant need for network re-architecture driven primarily by increasing amounts of video on service provider and enterprise networks," Silverstein said in a research note.
Digital Music Group (NasdaqGM:DMGI - News) signed a revenue-sharing content agreement with YouTube. The deal calls for certain components of Digital Music's video and music catalog to be made available by YouTube. Financial terms weren't disclosed.
Diversa Corp. (NasdaqGM:DVSA - News) shares gained after the San Diego-based maker of specialty enzymes said it has agreed to merge with privately held Celunol Corp, a developer of technology for producing ethanol from cellulosic biomass feedstocks. Under the terms of the deal, Diversa will issue 15 million shares to acquire the outstanding equity of Celunol. Diversa will also provide Celunol with up to $20 million in debt financing to fund its operations prior to the closing of the transaction. Diversa stockholders will own roughly 76% of the combined company, and Celunol stockholders and option holders will own 24%. The deal is expected to close by the end of the second quarter.
Express Scripts (NasdaqGS:ESRX - News) was upgraded to buy from hold at Jefferies & Co. The firm boosted its price target on the stock to $90 from $77.
Grubb & Ellis Co. (NYSE:GBE - News) said its second-quarter net income rose to $6.1 million, or 23 cents a share, from $4.9 million, or 36 cents, a year earlier. The average earnings estimate of four analysts surveyed by Thomson Financial was 9 cents a share. The Chicago real-estate services company said revenue for the three months ended Dec. 31 rose to $145.8 million from $140.6 million.
Home Depot Inc. (NYSE:HD - News) said its board has decided to evaluate strategic alternatives for its HD Supply business, including a possible sale, spin-off or initial public offering. The Atlanta-based retailer said there can be no assurance that any deal will occur or its timing. Home Depot said it hired Lehman Brothers as its financial advisor and it does not expect to update its progress or disclose developments with respect to the exploration of HD Supply strategic alternatives unless the board of directors has approved a definitive transaction.
Hydril (NasdaqGS:HYDL - News) shares leapt after the manufacturer of pressure control products for oil and gas production agreed to be acquire by Tenaris S.A. for $97 a share in cash. The offer represents a premium of roughly 17% to Hydril's closing share price last Friday. The deal is expected to close in the second quarter. Certain members of the Seaver family have agreed to vote Hydril shares, representing roughly 22% of the combined votes rights, in favor of the merger, Luxembourg-based Tenaris said.
Infineon AG (NYSE:IFX - News) was approached by at least three private equity groups in the last six months, according to a report in the Financial Times newspaper. The firm's management do not want a deal, but some potential bidders remain hopeful a deal could still be possible this year, the newspaper said, citing a person familiar with the situation. If Infineon, which has a market capitalization of 8 billion euros ($10.4 billion), were bought, it would be the largest private equity deal ever in Germany, the FT added.
Kraft Foods (NYSE:KFT - News) was upgraded to neutral from reduce at UBS.
Kronos Inc. (NasdaqGS:KRON - News) was upgraded to strong buy from buy at Needham & Co. The firm lifted its price target on the stock to $50.
Lamson & Sessions (NYSE:LMS - News) said its board hired Perella Weinberg Partners as financial adviser to explore "a range of strategic and financial alternatives" for the company. The Cleveland thermoplastics company said the potential actions include the sale of certain assets or the entire company, formation of joint ventures, a change to the company's capital structure, or a continuation of the company's business plan.
LCA-Vision Inc. (NasdaqGS:LCAV - News) reported fourth-quarter earnings of $7.1 million, or 34 cents a share, up from a year-ago profit of $6.6 million, or 30 cents a share. Revenue jumped 26% in the latest three months to $58.8 million from $46.8 million a year ago. The Cincinnati-based provider of laser vision correction services also said it's increased its quarterly dividend by 50% to 18 cents a share from 12 cents. Looking ahead, LCA-Vision forecast earnings of $2.05 to $2.15 a share for 2007 on revenue growth of 20% to 25%.

Stock Market Morning Watch Feb. 12

Stocks are trading mixed Monday morning amid falling crude oil prices and another round of merger activity. Shortly after the opening bell on Wall Street, the Dow Jones Industrials ($INDU) was up 20 points on the session. The NASDAQ ($COMPQ) was trading modestly lower.Several deals were announced. India’s Hindalco is buying out Novelis (NVL) for approximately $6 billion. Shares of the aluminum company are up $5.40 to $43.94 on the news. Four Seasons Hotels (FS) is going private for $82 a share, or roughly $3.37 billion. Tenaris SA is making plans to buy Hydril (HYDL) at a 17% premium from last Friday’s closing price. The deal values the maker of steel valves and connectors at approximately $2.2 billion.
In other stock news, Apple Computer (AAPL) is trading higher after Citigroup raised the rating on the stock to “buy” from “hold.” Onyx Pharmaceuticals (ONXX) is rallying after the company said its Nexavar cancer drug, developed jointly with Bayer AG, helped patients with liver tumors live longer. Google (GOOG) is trading lower after a group of media companies accused the company of “benefiting from the sale of pirated movies and providing business support to two Web sites suspected of offering access to illegal film downloads,” according to Dow Jones Newswires, citing people familiar with the matter.
Crude oil prices are moving lower after reaching more than $60.00 a barrel last week. Crude was recently down 99 cents to $58.90 a barrel. Exxon Mobile (XOM), ConocoPhillips (COP) and other energy-related shares are trading lower as well. No economic data is due out today, but the calendar is busy later in the week. Retail sales and business inventories are due out Wednesday. Industrial Production and the Philadelphia Fed follow on Thursday. Friday holds key data on housing and inflation.
Traders will also be watching the tone of the market after the sell-off late last week. On Friday, volume rose to its best levels of the week as the Dow slid 57 points and the NASDAQ tumbled 28. It turned out to be the most volatile trading session of the week and now traders will want to see if the major averages will rebound from the one-day debacle as they have in the recent past or if selling pressure is beginning to build, which could set the table for a long awaited market pullback or correction.

Wednesday's Biggest Advancers

Arcelor Mittal, (NYSE:MT - News) said Wednesday it's buying Mexico's Sicartsa from Grupo Villacero for $1.44 billion. It's also entered into a 50-50 joint venture with Villacero to distribute Arcelor Mittal's long products in Mexico and the southwestern U.S.
BCE Inc. (NYSE:BCE - News) was upgraded to buy from neutral by Merrill Lynch, which said said the Canadian telecommunications company is pushing its price leadership strategy further and faster than it had expected. The broker told clients this should help offset continuing strong cable phone inroads. Merrill added that while it sees substantial risk that Industry Canada will set aside wireless spectrum for new entrants, it sees offsetting upside, not widely acknowledged, if BCE and Telus Corp. were to integrate their wireless networks in the future.
Bowne & Co. (NYSE:BNE - News) said it's agreed to buy St Ives Financial, a financial printing company, from St Ives . Though Bowne didn't reveal terms, St Ives in its own statement said it will receive $8 million in cash for the business that lost 1.5 million pounds ($2.9 million) in the year ending July 28.
BRE Properties Inc., (NYSE:BRE - News) a real estate investment trust focusing on apartment communities, sees 2007 per-share profit of $1.05 to $1.20 and funds from operations of $2.55 to $2.70.
CarMax Inc. (NYSE:KMX - News) said third-quarter net income rose to $45.4 million, or 42 cents a share, from $22.9 million, or 22 cents a share. Earnings for the third quarter of both years included share-based compensation costs of 3 cents a share, and earnings for the prior year's third quarter included a benefit of 3 cents a share from favorable auto finance items. Net sales rose to $1.77 billion from $1.42 billion. Same-store used unit sales rose 13% in the quarter. Analysts, on average, expected it to earn 25 cents a share on revenue of $1.63 billion, according to Thomson First Call. For the fiscal year ending February 28, 2007, CarMax now expects same-store used unit sales performance in the range of 8% to 9% and raised its earnings per share to a range of $1.75 to $1.85 from $1.55 to $1.65 a share. Analysts polled by Thomson First Call expect it to earn $1.64 a share for the year, on average.
Christopher & Banks Corp. (NYSE:CBK - News) reported third-quarter net income of 24 cents a share, matching both the year-earlier result and analysts' expectations.
Cooper Tire & Rubber Co. (NYSE:CTB - News) named Roy Armes president, chief executive and a director. Armes succeeds Byron Pond, who has served as interim CEO since August.
Darden Restaurants' (NYSE:DRI - News) fiscal second-quarter profit rose 12%, buoyed by restaurant openings and lower expenses at its Olive Garden chain.
Ferro Corp. (NYSE:FOE - News) filed its third-quarter report and became current on its Securities and Exchange Commission filings. Profit for the period fell to $5.5 million, or 12 cents a share, from $6.9 million, or 15 cents, in the year-earlier period.
Ford Motor (NYSE:F - News) was upgraded by KeyBanc to hold from sell, the automaker's second analyst upgrade in as many days. Analyst Brett Hoselton said that while fundamentals aren't expected to show any meaningful improvement in 2007, the earnings deterioration should begin to taper off. Hoselton thinks the implementation of cost cuts, capacity rationalization actions and production cuts will help reduce excessive inventory levels resulting from slowing demand. Meanwhile, he believes Ford's new financing plan will raise borrowing costs and hurt results at its financial services business. As a result, Hoselton increased his 2006 loss estimate to $1.26 a share from 99 cents, and raised his 2007 loss forecast to $1.29 a share from 60 cents.
FPL Group Inc.'s (NYSE:FPL - News) FPL Energy will purchase the Point Beach Nuclear plant in Two Rivers, Wis., its fuel and associated inventories for around $1 billion from Wisconsin Energy Corp.'s (NYSE:WEC - News) Wisconsin Electric Power Co. unit. The companies also entered a long-term agreement under which FPL Energy will sell 100% of the output of Point Beach to Wisconsin Electric Power.
Harrah's Entertainment Inc. (NYSE:HET - News) agreed to be bought by a pair of private equity groups for $90 a share in cash plus assumption of $10.7 billion in debt.
Honeywell (NYSE:HON - News) was upgraded to buy from above average by Caris & Co, which said the company's operating plan through 2008 reflects strong trends for air travel, safety, security, and energy needs. The driving force for demand in Honeywell's aerospace and automation and controls units "will remain well in place in 2008 (and beyond), as commercial aircraft and [business jet] builds continue to advance, flying hours continue to grow, US residential construction revives and non-residential growth extends."
Hydril Co. (NASDAQ:HYDL - News) the maker of oil and gas drilling products, sees fourth-quarter per-share earnings of about $1.05 or higher, above its prior view.
Innovo Group Inc. (NASDAQ:INNO - News) said it has closed around $3.6 million of new equity financing through a private placement. The company said it sold 6.8 million shares at 53 cents a share in the placement, along with warrants to purchase an additional 2.1 million shares at an exercise price of 58 cents a share.
Jack in the Box, (NYSE:JBX - News) expects to accept for purchase 2.3 million, or 6.5%, of its common shares at $61 each under a Dutch-auction tender offer. The company will lay out $142.5 million for the shares.
John H. Harland Company (NYSE:JH - News) agreed to be acquired by M&F Worldwide Corp. (NYSE:MFW - News) for $1.7 billion, or $52.75 a share in cash. The merger is expected to close in the second half of 2007. M&F Worldwide is 38% owned by MacAndrews & Forbes, a company controlled by financier Ron Perelman. M&F Worldwide owns two operating companies, Mafco Worldwide, a maker of licorice products, and Clarke American, a provider of checks, check-related products and direct marketing. Decatur, Ga.-based John H. Harland is a sells printed products and software and related services to the financial institution market, including banks, credit unions, thrifts, brokerage houses and financial software companies.
Kosan Biosciences Inc. (NASDAQ:KOSN - News) announced a license agreement with pharmaceutical giant Pfizer Inc. (NYSE:PFE - News) for its motilin agonist program.
Maxim Integrated Products Inc. (NASDAQ:MXIM - News) said John Gifford, founder and chief executive, will retire for health reasons. Gifford will remain part-time as an adviser.
National City Corp. (NYSE:NCC - News) will buy back as many as 30 million common shares, subject to a limit of $1.2 billion.
NexCen Brands Inc., (NASDAQ:NEXC - News) the New York brand-acquisition and -management company, definitively agreed to acquire the designer-apparel company Bill Blass Holding Co. for $54.6 million plus as much as $16.2 million additional based on the company meeting business targets.
Nordson Corp. (NASDAQ:NDSN - News) fourth-quarter net income was about flat with the year-earlier period. Profit per share rose to 82 cents from 80 cents as shares outstanding fell 2.6%.
Redback Networks (NASDAQ:RBAK - News) agreed to be acquired by Ericsson (NASDAQ:ERIC - News) for $2.1 billion in cash.
Smart Modular Technologies Inc. (NASDAQ:SMOD - News) first-quarter net income rose to 3 cents a share from 17 cents in the year-earlier period. Analysts had expected 21 cents.
Systemax Inc. (NYSE:SYX - News) third-quarter net income tripled from the year-earlier period, to 33 cents a share.
Telus (NYSE:TU - News) was upgraded to buy from neutral by Merrill Lynch, which said concerns over heavy wireline spending and wireless competition are now more than reflected in the share price. The broker told clients that management has trimmed wireless subscriber guidance for 2006, acknowledging increased pressure from discount brands. "We suspect this situation will lead Telus to respond with sharper pricing or promotions but we see no long-term value impairment," Merrill concluded.
Tupperware Brands Corp. (NYSE:TUP - News) named Simon Hemus president and chief operating officer.
WebMethods (NASDAQ:WEBM - News) named Ken Sexton as its chief financial officer, effective Jan. 2. Sexton replaces Mark Wabschall, who announced his plans to retire in September.
