Stock Market Wrapup Dec. 12th

All three major indices posted modest gains after a volatile session, as investors absorbed news of more mortgage-related losses and a Fed liquidity plan. The Dow added 41 points to end the day at 13,479. Meanwhile, the Nasdaq and S&P each closed up for the session to finish at 2,671 and 1,487, respectfully. Light, sweet crude prices surged higher to settle at $94.39 a barrel. Treasury prices tumbled, while gold prices gained to end at $818.80 an ounce. The dollar fell against the euro, but gained against the yen.
The Federal Reserve announced today that it will mount a joint effort with other central banks to inject billions of dollars of liquidity into the financial system in order to combat the credit crunch. The plan calls for the central bank to conduct four special auctions that will allow banks to bid for the opportunity to borrow directly from the Fed. The first two auctions will take place next week and will be for up to $20 billion each. The amounts of the remaining two auctions will be decided in January 2008.
In other economic news, a report from the Commerce Department showed that the U.S trade deficit widened in October. A reading of the report showed that imports exceeded exports by $57.8 billion, up from a gap of $57.2 billion September. Economists had predicted the gap would be $57 billion.
In corporate news, shares of Bank of America (NYSE: BAC - News) fell -2.7% on the day after the company disclosed in a regulatory filing that it expects fourth-quarter write-downs to exceed the -$3 billion it had predicted last month but was uncertain how big the write-down would be. The bank also said it expects to set aside $3.3 billion in loan-loss provisions in the fourth quarter, which is approximately $1.3 billion more than the previous period. The company expects to remain profitable in the fourth quarter.
Elsewhere, 3M Co. (NYSE: MMM - News), the maker of Scotch tape and Post-it notes, said it expects earnings growth of at least 10% for the full year 2008 fueled by overseas sales and exchange rates. The company said it expects 2008 earnings per share to be between $5.44-$5.47 per share. Analysts, on average, were looking for earnings growth of 9%, or EPS of $5.43 per share. 3M's stock was up 2.4% for the day.
Also today, shares of Sallie Mae (NYSE: SLM - News) tumbled -10.8% after the company slashed its earnings guidance for the fourth quarter and full-year 2008. The student lender also disclosed that it has failed to renegotiate a buyout offer from an investor group that balked at its original offer of $25 billion several months ago. For the quarter, Sallie expects to earn between 52-57 cents per share. On average, analysts were looking for fourth-quarter earnings of 71 cents per share, which is down from previous estimates of 74 cents last month. The company lowered its earnings guidance for 2008 to be between $2.60-$2.80 per share, down from $3.25 per share.
In M&A activity, software giant Microsoft (Nasdaq: MSFT - News) announced today that it had acquired U.K.-based Multimap, a provider of location and mapping technology. Financial terms of the deal were not disclosed. Microsoft said the mapping technology could be used to complement several of its current offerings and may be integrated with future products. Shares of Microsoft were up 1.1% on the day.

Jim Cramer's Mad Money Stock Recap May 23

Six More Dow Stocks: 3M (NYSE: MMM - News), General Motors (NYSE: GM - News), Hewlett-Packard (NYSE: HPQ - News), Home Depot (NYSE: HD - News), Honeywell (NYSE: HON - News), Intel (NasdaqGS: INTC)
Cramer continued his coverage of 30 Dow stocks with MMM, which is up 11%, although Cramer thinks its buyback and dividend increase are already priced in the stock, and he doesn't see sufficient upside to justify buying. Cramer has not been bullish on GM since the resignation of Jerry York from the board, but recommends GM's bond which has a nice percentage return. HPQ is "about to take off" and although it reported a "really great" quarter, it hasn't gone up yet. Cramer says HPQ is the only tech stock worth owning for the duration of the summer. Admitting he was wrong in his prediction of an interest rate cut from the Fed, Cramer says there is not a strong incentive to own HD, and would buy Sears instead. Honeywell is four points ahead of target, and while Cramer thinks it could go to $63, the stock would be too pricey. Intel's preformance has been disappointing, its price war with Advanced Micro Devices has been "bitter," and it shouldn't rise much higher than $24, Cramer said.
In the Beginning: Genesis Lease (NYSE: GLS - News)
After listening to AIG's earnings call, Cramer became aware of the "hot" business of leasing airplanes. The demand for aircraft currently outstrips supply, and Boeing can't produce planes quickly enough. GLS is a pure play on aircraft finance and is a way to benefit from the health of the industry "while keeping airlines at arm's length." The company is strong internationally, has a great cash flow and a solid dividend.
CEO Interview: Dan Batrack, Tetra Tech (NasdaqGS: TTEK)
Dan Batrack says the water resource management and infrastructure company has a strong pipeline and is at an all-time high. Backlog has surpassed revenue for five straight quarters, and the company is also involved in wind and nuclear energy, areas where demand exceeds supply. Cramer says he likes TTEK and notes its government contracts.

Stock Market Wrapup May 15th

The stock market largely retreated from its early enthusiasm over tame inflation numbers reported by the Labor Department, though the Dow Jones Industrial Average closed higher to set another record. The Nasdaq and S&P 500 indexes closed in the red. In other markets, the 10-year Treasury note lost ground, while crude oil prices pushed back over $63 a barrel.

Stocks got off to a strong start after the Labor Department reported that the core consumer price index increased by a modest 0.2%, in line with Wall Street's expectations. Overall CPI, including food and energy costs, rose 0.4%. Those tame numbers buoyed the hopes of investors yearning for a rate cut later this year by the Federal Reserve.
Investors also had to digest disappointing earnings from two retail bellwethers: Wal-Mart (NYSE: WMT) and Home Depot (NYSE: HD), both of which reported before the market's open. Wal-Mart posted an 8% profit increase, but said it was due to cost cutting more than revenue growth. The company also said it would probably miss its Q2 targets. Home Depot reported a steeper-than-expected profit decline of -29.5%, which it attributed to wild winter weather and the weak housing market. Wal-Mart's shares lost -0.5% of their value today, while Home Depot closed -1.8% lower. The Dow index was pumped up by a solid move from General Motors (NYSE: GM), which is still basking in the afterglow of Chrysler's acquisition by Cerebus Capital Management. Investors hope the deal will lead to significant changes in the U.S. auto industry that will make GM and Ford Motor (NYSE: F) more competitive. Other Blue Chips with a strong global presence like Alcoa (NYSE: AA) and 3M (NYSE: MMM) also helped the Dow today.
Regional grocery operator Winn Dixie (Nasdaq: WINN) gained 37.2% today after reporting improved financial performance and continued progress on its turnaround plan. The company reported a profit for the quarter ended April 5th of $17.8 million against a loss in the year-ago period of -$29.0 million.
In other retailing news, Limited Brands (NYSE: LTD) announced it would sell a 67% stake in its Express brand to Golden Gate Capital for $548 million in cash while also exploring options for its Limited stores. The company's announcement confirmed expectations that it would concentrate on its rapidly expanding Bed, Bath & Bodyworks and Victoria's Secret brands. Limited shares closed -4.5% lower.
Elsewhere in M&A, financial information provider Reuters (Nasdaq: RTRSY) announced that it had agreed to be acquired by Canada's Thompson (NYSE: TOC) for roughly $17.24 billion.

"When you look at who has the most earnings momentum in the first quarter, you're going to come to the interactive portion of the market," said Cramer, and listed his four favorite internet stocks in order: Yahoo, eBay, IAC and Google. He thinks Yahoo will double its money in click-through advertising, thanks to Panama, IACI has "tremendous" earning power, eBay reported a great quarter and Google is bottoming. Cramer thinks the fact that DEO and EXP are down is absurd, and although 3M is "poorly executed," he believes the Morgan Stanley upgrade is "important because it said even if the company keeps screwing up, it should be able to bottom." In addition, 3M has the "biggest buyback of the major Dow stocks just declared and big Asian exposure," as well as a 3% yield. Cramer also has hope in soft drink stocks with PEP searching for a bottom and KO "putting one in ... They're both going to go up," he said.

KB Home (NYSE: KBH - News): Cramer says that KBH's strong performance is proof that negativity on housing is excessive, since the company reported a rise in revenues and a 4% gain in the price of a typical house over last year. In spite of the 4% rise in the stock, people are "so busy burying" KBH, which Cramer considers an attractive takeover target.
Alcoa (NYSE: AA - News), Rio Tinto (NYSE: RTP - News), 3M (NYSE: MMM - News): Since "undermanaged companies" in metals have historically received takeout deals, Cramer expects a bid for AA from RTP, especially since shares of AA rose 6%. Concerning MMM, Cramer says management should "fix the company" before undertaking its ambitious $7 billion buyback.

Tuesday's Biggest Stock Gainers

99 Cents Only Stores (NYSE:NDN - News) announced preliminary third-quarter results and the delay of the release of its third quarter Form 10-Q and the continued delay of its 2006 Form 10-K and Form 10-Qs for the first and second quarters of fiscal 2007. For the fiscal third quarter, net sales increased 8.3% to $302.1 million. Sales at stores open longer than a year rose 1.9%. The company said it expects to report net income of about 12 cents a share, compared to 10 cents a share in the year-ago period.

3M (NYSE:MMM - News) said it plans to buy back up to $7 billion of its own stock over the next two years, its biggest buyback program ever. Also, Soleil Securities upgraded the company to buy.
Alcoa (NYSE:AA - News) was in focus following a report in The Times of London that the Dow component may be a takeover target. The article mentioned BHP Billiton (NYSE:BHP - News) and Rio Tinto (NYSE:RTP - News) as the likely suitors.
Applebee's International Inc. (NasdaqGS:APPB - News) said its board formed an independent committee of directors to explore strategic options for the company, including a possible recapitalization or sale. Overland Park, Kan.-based Applebee's said there is no assurance that the process will result in any specific transaction. However, it said that certain strategic alternatives could affect its previously-issued guidance. As a result, the company withdrew its fiscal year 2007 forecast. The committee has hired Citigroup Global Markets and Banc of America Securities as financial advisors. Legal advisors are Cravath, Swaine & Moore of New York, and Blackwell Sanders Peper Martin of Kansas City.
Cephalon Inc. (NasdaqGS:CEPH - News) said it swung to a fourth-quarter net loss of $4.91 million, or 8 cents a share. In the same period last year, the biopharmaceutical company posted net earnings of $18.1 million, or 30 cents a share.
Ceridian Corp. (NYSE:CEN - News) said its fourth-quarter earnings rose 6.2% to $49.6 million, or 35 cents a share, from $46.7 million, or 32 cents, a year earlier, helped by its Comdata business, higher margins at Human Resources Solutions and a lower effective tax rate. The Minneapolis-based information-services company said revenue rose 6.5% to $404 million from $379.5 million in the year-ago period. Analysts polled by Thomson Financial expected, on average, fourth-quarter earnings of 33 cents a share on revenue of $409.5 million. The company expects 2007 earnings of $1.25 to $1.35 a share, excluding costs related to the election of directors, on revenue of $1.65 billion and $1.7 billion. The company also said it's retained Greenhill & Co. as its financial advisor as it explores strategic options.
Coca-Cola Enterprises (NYSE:CCE - News) said its fourth-quarter loss widened, due to a $2.92 billion impairment charge to reduce the book value of its North American franchise license intangibles, a $14 million restructuring charge and a $14 million legal settlement. The Atlanta drink marketer and distributor had a fourth-quarter loss of $1.71 billion, or $3.59 a share, compared with a loss of $57 million, or 12 cents a share, a year earlier. Excluding the impairment and restructuring charges and the legal settlement, the company earned 20 cents a share, compared with 14 cents a share a year earlier. Analysts surveyed by Thomson Financial expected, on average, earnings of 16 cents a share on revenue of $4.65 billion. Analyst earnings forecasts typically exclude unusual items. Coca-Cola Enterprises said it plans to cut 5% of its workforce, or about 3,500 jobs, as part of a restructuring of its North American and European operations. The restructuring will result in a $300 million charge, with the majority of the expense recognized in 2007 and 2008. In addition, the company said it expects 2007 earnings to be down 5% to 10% from 2006 results, due to higher prices for aluminum cans and high fructose corn syrup.
CVS Corp. (NYSE:CVS - News) increased the value of its offer for Caremark Rx Inc. (NYSE:CMX - News), saying Caremark shareholders will now receive a special cash dividend of $6 a share, up from the previously planned dividend of $2 a share. The dividend will be paid upon or shortly after completion. The other terms of the agreed deal remain unchanged. Under the terms Caremark shareholders will receive 1.67 shares of the merged company for each Caremark share they own. The increased dividend comes as Express Scripts is also attempting to acquire Caremark and after proxy firm Glass Lewis & Co. recommended Caremark shareholders reject the CVS deal.
Cynosure (NasdaqGM:CYNO - News) shares jumped after the Westford, Mass.-based maker of aesthetic treatment systems reported a fourth-quarter net profit of $1.53 million, or 13 cents a share, down from $2.53 million, or 29 cents a share, last year. Excluding certain items, Cynosure posted earnings of $2.51 million, or 21 cents a share, compared with $1.09 million, or 12 cents a share, last year. Revenue rose to $24.6 million from $16.1 million. Analysts polled by Thomson Financial were expecting a per-share profit of 16 cents on revenue of $20.9 million.
First Advantage Corp. (NasdaqGS:FADV - News) shares gained after the St. Petersburg, Fla.-based provider of risk mitigation services late Monday reported fourth-quarter net earnings of $18.2 million, or 31 cents a share, up from $16.2 million, or 29 cents a share, last year. Revenue rose to $206.1 million from $170.1 million. Analysts polled by Thomson Financial were expecting a per-share profit of 22 cents on revenue of $194.7 million
Forward Air Corp. (NasdaqGS:FWRD - News) said its fourth-quarter net earnings slipped to $12.17 million, or 40 cents a share, from $12.2 million, or 38 cents a share, in the same period last year, amid a "challenging freight environment."
General Motors (NYSE:GM - News) was upgraded to buy from sell at Merrill Lynch. The firm cited its increased belief that the automaker will use its liquidity and legacy assets, specifically in its pension, "to affect positive change." Analyst John Murphy is also establishing a $50 stock price target. The stock, a component of the Dow industrials, was last up 1.2% at $36.15 in pre-open trading. Murphy noted that GM's pension fund is over-funded by $17 billion, that pressure is mounting for change in the company's healthcare plan, and that the company's legacy assets are likely to be leveraged further. "The resulting sentiment is increasingly more optimistic and is trumping our previous expectation of pressure early in 2007," Murphy said in a research note. "Valuation is near bottom and illustrates the leverage."
Genesee & Wyoming (NYSE:GWR - News) posted a 32.5% rise in fourth quarter net income to $14.3 million, or 34 cents a share, from $10.8 million, or 26 cents a share, a year ago. Analysts were expecting the company to post earnings of 30 cents a share, according to data compiled by Thomson Financial. GWI said that its board has authorized the repurchase of up to 2 million shares of common stock. It's planning to continue an active acquisition program and is currently pursuing a number of international and domestic opportunities. Revenue rose 20% to $124 million in the quarter, primarily due to acquisitions.
Himax Technologies (NasdaqGS:HIMX - News) said its fourth-quarter earnings rose to $29.4 million, or 15 cents per American depository share, from $17 million, or 9 cents per ADS. The Tainan, Taiwan, maker of semiconductors said revenue rose 26% to $220.9 million from $177.3 million. The company expects first-quarter earnings of 8 cents to 9 cents a share and revenue to decline about 16% to 18%.
Icon (NasdaqGS:ICLR - News) said that its fourth-quarter net income rose to $11.4 million, or 39 cents a share, from $7 million, or 24 cents a share, a year ago. Analysts were expecting the company to post earnings per share of 36 cents, according to data compiled by Thomson Financial. Sales at the provider of services to the pharmaceutical, biotechnology and medical device markets rose 46% to $129 million, following strong growth at the company's clinical operations. The company said that, with a record backlog of $872 million, it's looking forward with confidence.
Illumina (NasdaqGM:ILMN - News) priced $350 million in convertible senior notes, to pay interest semiannually at a 0.625% annual rate, with can be exchanged for 22.9029 shares for each $1,000 principal amount held. That's equal to a conversion price of approximately $43.66 a share. It will buy back $202 million of shares in privately negotiated deals. In addition, approximately $41 million of the proceeds from the transactions will be used to fund the net cost of the convertible note hedge transactions and warrant transactions.
KB Home (NYSE:KBH - News) swung to a loss of $49.6 million, or 64 cents a share in the fourth quarter driven by previously announced land charges of $343.3 million. In a statement, Chief Executive Jeffrey Mezger said during the second half of 2006, "an oversupply of unsold new and resale homes, reduced affordability, and greater caution among potential homebuyers heightened competition among homebuilders and sellers of existing homes, prompting the aggressive use of price concessions and sales incentives." The result was pressure on profit margins, while results "were further affected by declining land values and the resulting charges we recorded in the fourth quarter to reflect lower land values," the CEO added.

3M Co. (MMM) Announces Stock Buyback

Late Monday industrial conglomerate and maker of popular products such as Scotch Tape, 3M Co. (MMM, 76.35, +1.76), said it would buy back up to $7 billion of its own shares - or 12.5% of its market capitalization - over the next two years.
The stock purchase represents the biggest buyback ever for the Dow component which also raised its quarterly dividend on common stock by 4.3% to $0.48 a share, payable March 12 to shareholders of record on Feb. 3.
Company officials said in a press release that strength in operations and confidence in the company's outlook have made the moves possible.
On Jan. 30, MMM reported fourth quarter earnings of $1.10 per share, excluding a $0.57 gain on the sale of a pharmaceutical business, $0.04 worse than consensus as a slowdown in the housing market took its toll. Excluding one-time items, MMM said it expects $4.60 to $4.75 earnings per share for the full year of 2007. Consensus is for $4.67 a share.
We maintain our bullish position on the company, which has accelerated investments in areas including research and development, sales and marketing, growth-oriented capital investments and selected acquisitions. At about 16.6x trailing 12-month earnings, the stock is trading at a discount to its 10-year average of 22.5x.

Jim Cramer's Mad Money Stock Recap Feb. 1

Better than Good: Archer Daniels Midland (NYSE: ADM - News), Boeing (NYSE: BA - News), Starbucks (NasdaqGS: SBUX)
ADM and BA saw their stocks soar because they were good, but Cramer says for great stocks like SBUX "good is not good enough," and these companies need a better-than-expected performance. Cramer invited SBUX chairman and founder Howard Schultz onto the show, and Schultz denied that the company is in trouble, and commented "If you look at the quarter, the underlying factors were so strong," he said. Schultz mentioned the hidden opportunity in the company's card growth, its plans to expand into Russia and India this summer, and the wage increase SBUX recently gave its employees. When Cramer asked about the cost of new stores, Schultz responded, "for the balance of this year, all of Starbucks real estate is done," and that all leases have been signed. Since SBUX is putting up drive-throughs and counters in rest stops, it should save money on real estate. Cramer thinks of SBUX as a good long-term stock, but sees it in terms of a 5 year rather than an 18 month investment.
Feeling at Home: Chipotle (NYSE: CMG - News), Ruth's Chris Steak House (NasdaqGS: RUTH), Darden Restaurants (NYSE: DRI - News)
Last week, when Danny Meyer, restauranteur and author of Setting the Table: The Transforming Power of Hospitality in Business, visited Mad Money, Cramer discovered the missing multiple which drives restaurant stocks higher: hospitality. This is the reason Chipotle is worth more than RUTH, which serves overpriced American meat, according to Cramer, and Red Lobster or the Olive Garden, which provide nothing unique in terms of hospitality, food or service. Although CMG is the most expensive stock of the three, the "at home" feeling it gives its customers makes the stock more valuable.

Sell Block: Boston Scientific (NYSE: BSX - News), Gilead Sciences (NasdaqGS: GILD), Laureate Education (NasdaqGS: LAUR), 3M (NYSE: MMM - News), Smith & Wesson (NasdaqGS: SWHC)
Cramer would sell BSX and suggested taking profits in GILD, but would let the rest of it ride. Since Laureate's CEO announced a leveraged buyout, Cramer would sell LAUR. Cramer regretted recommending 3M, since its quarter was "awful." He suggested selling SWHC.
CEO Interview: Fred Poses, American Standard (NYSE: ASD - News)
Cramer congratulated Fred Poses on ASD's recent rise, and Poses attributed the success to the companies treating its three business as separate. When Cramer asked if ASD was selling its kitchen and bath unit at a low, Poses responded that companies will see its value and pay for its great potential. "Unlocking shareholder value is what we look for, and you did it in one swoop," Cramer told Poses. "I'm a bull on American Standard."
